1. Introduction

Welcome to Brevly ("Platform", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, applications, APIs, and services (collectively, the "Services") operated by QuanaLLP, a company incorporated under the laws of India, with its registered office in Bengaluru, Karnataka, India.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Definitions

• "User" means any individual or entity that accesses or uses the Services.
• "Tenant" means an organisation or business entity that has registered for a subscription to the Services.
• "Content" means any data, text, files, or other materials uploaded, submitted, or generated through the Services.
• "Subscription" means the paid plan under which a Tenant accesses the Services.

3. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our Services. By using the Services, you represent and warrant that you meet this requirement. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us immediately at connect@quana.ai if you suspect any unauthorised use of your account.

5. Services & Subscriptions

We provide a multi-tenant SaaS platform with AI-powered features. Specific features, usage limits, and pricing are described on our website and may vary by subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

Free-tier accounts may have limited functionality and may be subject to usage restrictions as determined by us.

6. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis as selected by the Tenant. All fees are quoted in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes, including Goods and Services Tax (GST) as mandated by Indian law.

Payments are processed through third-party payment gateways. We do not store your payment card details. Failure to make timely payments may result in suspension or termination of your account.

7. Cancellation & Refunds

You may cancel your subscription at any time through your account dashboard. Upon cancellation, your access will continue until the end of the current billing period. We do not provide prorated refunds for partial billing periods unless required by applicable law.

8. Data Ownership & Licence

You retain all rights to the Content you upload or create through the Services. By using the Services, you grant us a limited, non-exclusive licence to process, store, and display your Content solely for the purpose of providing the Services to you.

We do not claim ownership of your Content and will not use it for purposes unrelated to service delivery without your explicit consent.

9. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable Indian or international laws.
• Upload or transmit viruses, malware, or any harmful code.
• Attempt to gain unauthorised access to any part of the Services or related systems.
• Reverse-engineer, decompile, or disassemble any part of the Services.
• Use the Services to send unsolicited communications (spam).
• Resell, sublicence, or redistribute access to the Services without our written consent.

10. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, design, logos, trademarks, and documentation, are owned by QuanaLLP or its licensors. Nothing in these Terms grants you any right to use our trademarks or branding without prior written permission.

11. Limitation of Liability

To the maximum extent permitted by applicable law, QuanaLLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless QuanaLLP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we reasonably believe your use poses a risk to the Services, other users, or our business. Upon termination, your right to use the Services ceases immediately, and we may delete your data after a reasonable retention period of 30 days.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days.

15. Amendments

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Platform at least fifteen (15) days before they take effect. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
